These Terms and Conditions form the Student Agreement between you and Clinton Education Pty Ltd (trading as Clinton English Melbourne). By signing this agreement, you accept the offer extended by Clinton English via the Letter of Offer and agree to be bound by these terms. This agreement is made in accordance with the Education Services for Overseas Students Act 2000 (ESOS Act) and the National Code of Practice for Registration Authorities and Providers of Education and Training to Overseas Students 2018 (National Code 2018).
1. Course Details
By accepting the Letter of Offer, you confirm that you understand and accept the following:
- This offer constitutes the basis of the agreement for your studies at Clinton English.
- You accept the course details as described in your Letter of Offer and the associated enrolment conditions.
- You will notify Clinton English of any changes to your personal contact details (including address, mobile number, and email address) within 7 days of the change.
2. Course Fees and Other Charges
The following fees and charges apply at Clinton English. All fees are listed in Australian dollars (AUD) and are correct at the time of enrolment. Please refer to your Letter of Offer for the specific fees applicable to your enrolled course.

Tuition fees are locked at the rate in your Letter of Offer for the duration of your enrolment. If you withdraw and re-apply later, new fees will apply.
3. Overseas Student Health Cover (OSHC)
It is a requirement of the Australian Government that all students studying on a student visa are covered by Overseas Student Health Cover (OSHC) for the entire time they are in Australia. This means OSHC is required from your date of arrival to your date of departure.
Clinton English represents NIB, a recognised OSHC provider, and can arrange this cover on your behalf. The cost of OSHC will be in addition to the fees outlined in your Letter of Offer. For the latest fees and charges, please refer to www.nib.com.au.
Students accompanied by family members must also pay the applicable OSHC family cover fee. The OSHC policy information will be provided after your orientation is completed. During your study in Australia, you can access and download your digital membership card via the NIB App, and all medical claims can be assessed through the NIB App.
4. Student Responsibilities and Conditions
As a student of Clinton English, you agree to the following:
4.1 Financial Responsibility
You confirm that you have sufficient funds to finance both tuition fees and living expenses for the duration of your course. Tuition fees do not cover the costs of books (apart from materials provided), school supplies, field trips, or living expenses unless otherwise specified.
4.2 Family Members
If family members accompany you to Australia, you are responsible for their education and other living costs. All school-aged dependents accompanying you must attend school, and full fees apply whether they are enrolled in a government or non-government school.
4.3 Course Transfer (6-Month Rule)
You must complete six months of your principal course of study before you are eligible for release to transfer to another registered provider, except in exceptional circumstances as defined in the National Code 2018.
4.4 Visa Compliance and Course Progress
The continuation of your course is dependent on your compliance with your student visa conditions, which include:
- Commencing on the agreed course start date
- Satisfactory academic progress and attendance (English language students)
- Payment of required tuition fees before the commencement of each study period
You must also notify Clinton English of all changes to your personal contact details (including address, mobile number, and email address) within 7 days of the change.
4.5 Health Cover
You must maintain current Overseas Student Health Cover (OSHC) while enrolled at Clinton English.
4.6 Attendance and Participation
You agree to attend all classes, course-related information sessions, supervised study sessions, and assessment sessions, and to undertake all assessments. You will also attend the orientation and enrolment program at Clinton English preceding the start date of the course as outlined in your Letter of Offer.
4.7 Seeking Support
You agree to seek assistance from teachers, counsellors, and other support staff as soon as you experience difficulties with any aspect of your course. You will attend Intervention Support and/or Counselling Sessions at Clinton English if requested to do so.
4.8 Sponsorship
If you have received sponsorship for your study, you give permission for Clinton English to provide your sponsor with information about your academic progress, examination results, and a broad outline of any health issues affecting your academic studies.
4.9 Record Keeping
You understand that you are responsible for keeping copies of this written agreement and receipts of any payments of tuition fees or non-tuition fees.
4.10 Contact Details
As an overseas student, while in Australia and studying with Clinton English, you must notify us of your contact details, including your current residential address, mobile number, email address, and an emergency contact person.
4.11 Fee Payment
Fees are payable as agreed with Clinton English and documented in your Letter of Offer and Acceptance of Offer.
5. Clinton English Responsibilities
Clinton English agrees to the following:
5.1 Course Delivery
Clinton English shall use its reasonable efforts to complete the course as advertised. If the course needs to be postponed or cancelled, Clinton English will offer you the opportunity to transfer to an alternative course or will provide the applicable refund.
5.2 Learning Environment
Clinton English shall aim to provide a learning environment that is conducive to learning by selecting and hiring qualified teaching personnel, making available learning facilities and up-to-date equipment, and providing student support services to help students transition to life and study in a new environment.
5.3 Progress Monitoring
Clinton English will monitor students' course progress to identify "at-risk" students, with the sole purpose of assisting these students to complete their course within the expected duration.
5.4 Contact Hours
Clinton English will deliver all ELICOS courses with a minimum of 20 face-to-face contact hours per week.
5.5 Information Provision
Clinton English will provide students with information pertinent to them, including changes to visa conditions affecting course progress and/or attendance, available accommodation options, living expenses, job opportunities, and emergency and health services.
5.6 Government Reporting
Clinton English is obliged to notify Government agencies (including the Department of Home Affairs via PRISMS) of any change to a student enrolment and academic outcomes.
5.7 Course Not Delivered
In the case of a course not being delivered, Clinton English will provide the option to transfer to an alternative course. If the student does not wish to transfer, a refund will be provided based on the number of weeks studied.
6. Role of the Tuition Protection Service (TPS)
The Tuition Protection Service (TPS) is an initiative of the Australian Government to assist international students whose education providers are unable to fully deliver their course of study. The TPS ensures that international students are able to:
- Complete their studies in another course or with another education provider; or
- Receive a refund of their unspent tuition fees.
In the unlikely event that your education provider is unable to deliver a course you have paid for and does not meet their obligations to either offer you an alternative course that you accept or pay you a refund of your unspent prepaid tuition fees, the TPS will assist you in finding an alternative course or in getting a refund if a suitable alternative is not found.

7. Complaints and Appeals Process
If you are dissatisfied with any decision made by Clinton English, our education agents, or any other person providing a service arranged by Clinton English, you may file a complaint at any time. This includes fee demands and refunds given.
7.1 Initial Complaint
Clinton English will start assessing your complaint within 10 business days and respond as soon as practicable. You are welcome to bring a friend to any meetings, and a response will be provided in writing.
7.2 Internal Appeal
If you are not satisfied with the initial decision, you may appeal the decision through our internal appeals procedure, which allows for an objective review of the decision made.
7.3 External Appeal — Overseas Students Ombudsman
If you are still not satisfied after the internal appeal, you can apply for an external appeal to be heard by an independent body — the Overseas Students Ombudsman: https://www.ombudsman.gov.au. Clinton English will immediately follow the external appeal decision.
7.4 Australian Consumer Law
This written agreement and the right to make complaints and seek appeals of decisions and actions under various processes do not affect your right to take action under the Australian Consumer Law if it applies.

8. Deferment, Suspension or Cancellation of Enrolment
8.1 Clinton English–Initiated Deferral, Suspension or Cancellation
a. Deferral: Clinton English may defer your commencement on the following grounds:
- When a course is not offered
- When there are compassionate or compelling circumstances (evidence may be required)
b. Suspension: Clinton English may suspend your enrolment in the following instances:
- When you are deemed to be in breach of the Student Code of Conduct (misbehaviour)
- When you are deemed not to be making satisfactory course progress and fail to comply with the requirements of the Course Progress Intervention Plan
- Non-payment of outstanding fees
c. Cancellation: Clinton English may cancel your enrolment in the following instances:
- Serious breach of the Student Code of Conduct
- Breach of the Course Progress Policy
- Breach of the Attendance Monitoring Policy
- Non-payment of outstanding fees
d. Process: The suspension or cancellation of an overseas student's enrolment will not take effect until the internal appeals process is completed, unless your health or wellbeing, or the wellbeing of others, is likely to be at risk. In cases where suspension or cancellation is initiated by Clinton English, you will be notified in writing (explaining the reasons) and given 20 working days to access Clinton English's Complaints and Appeals Policy. There will be no change in enrolment status, and you will not be reported to the Department of Home Affairs (DoHA) until the appeals process is completed. Once the deferral, suspension, or cancellation is processed, Clinton English will notify DoHA via PRISMS.
e. Clinton English will report to DoHA via PRISMS if you have not started the course within 14 days of the agreed commencement date.
8.2 Student–Initiated Deferral, Suspension, or Cancellation
Students may initiate deferral, suspension, or cancellation of enrolment (including granting of a leave of absence) through formal written application, on the following limited circumstances:
Compassionate or compelling circumstances (conditions beyond your control which may impact on your course progress or wellbeing) include but are not limited to:
- Where you do not receive your visa in time to arrive at Clinton English to commence study
- Serious illness or injury — where a medical certificate states you were unable to attend classes
- Bereavement of close family members
- Major political upheaval or natural disaster in your home country requiring emergency travel that has impacted your studies
- Involvement in or witness to a serious crime or accident that has impacted you
- Where the registered provider was unable to offer a pre-requisite unit/course
- Other reasons may be considered but must be supported by compelling documentary evidence
Clinton English only accepts formal application forms with valid evidence provided. Incomplete forms, oral enquiries, or invalid evidence will not be processed.
8.3 Seeking Advice from Immigration
In any deferral, suspension, or cancellation action taken under this policy, Clinton English will provide you with guidance on seeking independent immigration advice.
8.4 Student Appeal Rights
Where a decision is made by Clinton English, you always have the right to appeal using the appeals processes as outlined in Clinton English's Complaints and Appeals Policy.
9. Fees and Payment
You are liable for all fees as set out in your Letter of Offer. The amount recorded in the TOTAL INITIAL PAYMENT REQUEST must accompany this agreement for it to be effective.
9.1 Fee Payment Schedule
Clinton English charges tuition fees based on course progress. The accrued balance will be due based on an invoice issued by Clinton English for the following period (term or semester, as applicable to your course). Invoices must be paid prior to commencing studies. Failure to pay will result in suspension from class.
If you decide to leave Clinton English prior to completion, the whole of the outstanding fees for the current qualification being studied immediately become due, and any concessionary payment plans that may have been entered into are cancelled.
9.2 Payment Methods
Payments can be accepted by electronic transfer, credit card (via online payment — Stripe), or cheque. Credit card payments are only available via the online Stripe payment portal. All surcharges are as set by Stripe's merchant rates.
9.3 Difficulty Paying
Students who are experiencing difficulty in paying their fees are invited to contact our office to make alternative arrangements during their period of difficulty.
9.4 Non-Payment
International students who do not pay their fees on time and without payment extension approval will receive two (2) warnings regarding non-payment of fees and thereafter will be reported to the Department of Home Affairs (DoHA) via PRISMS under student default.
Debts will be referred to a debt collection agency where fees are more than 40 days past due. Clinton English will not grant a letter of release in cases with overdue fees and reserves the right to refer the balance to a debt collection agency. If fees have already been paid, refunds will be in accordance with the Refund Policy below.
10. Refund Policy

10.1 Refund Process and Timeframe
- Students who withdraw from a course may seek a refund by making an application in writing using the Application for Refund Form. The application must include the details and reason for the request. Students who have not completed a Withdrawal Form are not eligible for consideration of a refund.
- Refund assessment will be based on reviewing the services provided and the costs incurred by Clinton English.
- When Clinton English reports termination of studies (COE cancellation), an authorised finance delegate will process applicable refunds within 7 days after the end of the provider obligation period.
- Under the Complaints and Appeals Policy and Procedure, if you are not satisfied with the Notice of Refund, you may submit an appeal for a review within 20 working days of receiving the Notice of Refund.
- Refunds will be issued within 28 days after the appeal is resolved or the appeal period has lapsed.
11. Student Declaration
By signing the Letter of Offer and Acceptance, you acknowledge and agree to the following:
- The information provided in your Application and in this Agreement is true and correct, and any false information may lead to the cancellation of your enrolment at any time. Clinton English will notify Government agencies of any change in your enrolment.
- Information provided in this Student Agreement and collected during your enrolment is collected in order to meet Clinton English's obligations under the ESOS Act and the National Code 2018, to ensure student compliance with conditions of their visas and obligations under Australian immigration laws generally.
- Before you can enrol in a course, you must satisfy the conditions as outlined in the Letter of Offer. If these conditions are not fully satisfied on or before the date of commencement, you cannot commence the course and Clinton English may terminate this Agreement.
- You have read, understood, and agree to Clinton English's Privacy Policy found on the website.
- You agree to Clinton English releasing personal information relevant to your application, visa documentation, and initial course enrolment to Clinton English's overseas representatives whom you have authorised to act on your behalf, and to Clinton English's preferred OSHC provider.
- You acknowledge that you have read and understood the description of the course, teaching and assessment methods, facilities, classroom equipment, and learning resources and have exercised your independent judgement in enrolling. Clinton English does not warrant that enrolment in or completion of the course will enable you to obtain any particular employment or to remain in Australia upon completion.
- You have received information on the local environment in which you will be studying, including the location of the teaching site, accommodation, and living costs.
- You understand and will abide by all your responsibilities as a student as outlined in Section 4 of this Agreement. Failure to satisfactorily comply with visa requirements can lead to the Department of Home Affairs imposing sanctions such as suspension or cancellation of your student visa.
- Clinton English reserves the right to withhold any certification of qualification if your course fees remain unpaid.
- You will need to pay additional costs for equipment, study materials, and OSHC fees which are in addition to your tuition fees.
- If you are enrolled and subsequently cease to be enrolled (either through your own choice or not) and then choose to re-apply, you will have to pay a new application fee and any other fees as if it were your initial application.
- This written agreement and the right to make complaints and seek appeals of decisions and actions under various processes does not affect your rights to take action under the Australian Consumer Law if it applies.
- You have read Clinton English's Fees and Refund Policy on the website — www.clintonenglish.vic.edu.au — and the summary in this agreement.
- The tuition fees listed in Section 2 will not change once you have commenced and stayed enrolled in the course. If you withdraw from all studies or enrol in a different course, any offer will be based on the fees ruling at that time.
- Clinton English is required, under the ESOS Act and all subsequent amendments, to inform the Department of Home Affairs of changes to your course enrolment and any breach of your student visa conditions relating to satisfactory academic performance and attendance.
- Your personal information (any information provided by you, your performance, attendance, course progress, and grades achieved) may be disclosed by Clinton English, the Australian Government (including TPS), or state or territory agencies, in accordance with the Privacy Act 1988.
- You have read the ESOS Framework available at: https://internationaleducation.gov.au/Regulatory-Information/Pages/Regulatoryinformation.aspx
- You will keep yourself informed of the latest Clinton English Policies and Procedures, which are posted on the website from time to time.
- If you are a younger student, you will abide by the arrangements for your accommodation, support, and general welfare.
- You declare that you are 18 years of age or will be 18 by the start date of your eCoE.
- You have read and understood this Agreement and hereby accept the offer made by Clinton English and agree to be bound by this Agreement and updates to Clinton English policies and procedures formally notified to you with at least 10 working days' notice.
